Understanding Your Legal Agreement with Unive.com.bd

You expressly may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download beyond temporary caching, store in a retrieval system, transmit, or commercially exploit any content from our platform without obtaining explicit prior written permission from Unive.com.bd or the respective rights holder. Service Availability, Maintenance, and Platform Reliability

While Unive.com.bd strives diligently to provide continuous, uninterrupted access to our services twenty-four hours per day, seven days per week, we cannot and do not guarantee absolute, uninterrupted, or error-free availability of our platform. Various factors may temporarily affect service availability, including but not limited to scheduled maintenance and updates to improve platform performance, unexpected technical issues or system failures, security incidents requiring immediate response, network connectivity problems beyond our control, natural disasters or other force majeure events, cyberattacks or denial-of-service attacks, necessary upgrades to hardware or software infrastructure, and compliance with legal requirements or court orders.

We reserve the right to temporarily suspend, restrict, or limit access to all or any portion of our services at any time, with or without prior notice, for any reason including but not limited to maintenance, security concerns, or legal compliance. We will make reasonable efforts to provide advance notice of scheduled maintenance whenever feasible, but we are not obligated to do so. You acknowledge and agree that temporary service interruptions may occur and that Unive.com.bd shall not be liable for any losses, damages, or inconveniences resulting from such interruptions.

Orders, Purchases, and Transaction Processing

When you place an order through Unive.com.bd, you enter into a purchase agreement that is subject to product availability, our acceptance of your order, verification of your payment information, confirmation of your delivery address, and compliance with these terms. We reserve the comprehensive right to refuse, cancel, or limit orders for various legitimate reasons, including but not limited to pricing errors or inaccuracies in product listings, product unavailability or insufficient inventory, suspected fraudulent activity or payment issues, violations of these terms or our policies, restrictions on quantities available for purchase, technical errors in order processing, inability to verify or authenticate your payment method, suspected use of stolen payment information, addresses flagged as high-risk for fraud, or any other reason that we determine in our sole discretion poses a risk to our business or other customers.

All prices displayed on Unive.com.bd are listed in Bangladeshi Taka (BDT) and are inclusive of applicable Value Added Tax (VAT) and other taxes unless explicitly stated otherwise in the product listing. Prices are subject to change without notice, and we reserve the right to modify prices at any time. However, price changes will not affect orders that have already been accepted and confirmed by us. Governing Law, Jurisdiction, and Dispute Resolution

These Terms and Conditions, and any disputes or claims arising out of or in connection with them or their subject matter or formation, shall be governed by, construed, and interpreted in accordance with the substantive and procedural laws of the People's Republic of Bangladesh, without giving effect to any principles of conflicts of law that would require application of the laws of any other jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these terms.

Any disputes, controversies, or claims arising out of or relating to these Terms and Conditions, your use of our services, or your relationship with Unive.com.bd, including but not limited to disputes regarding the existence, validity, interpretation, performance, breach, or termination of these terms, shall be subject to the exclusive jurisdiction of the competent courts located in Dhaka, Bangladesh. By using our platform, you irrevocably consent and submit to the personal jurisdiction and venue of these courts for resolving any such disputes. You waive any objection to the laying of venue of any such action or proceeding in such courts and waive any claim that such courts are an inconvenient forum.

Modifications to Terms and Conditions

Unive.com.bd expressly reserves the right to modify, amend, update, revise, or replace these Terms and Conditions at any time, in whole or in part, at our sole discretion, for any reason or for no reason whatsoever. Reasons for modifications may include changes in our business practices, legal or regulatory requirements, technological advancements, security enhancements, feedback from users, or evolution of our services. When we make material changes to these terms, we will update the "Last Updated" date prominently displayed at the top of this document to reflect the effective date of the most recent version.

We may, at our discretion but are not obligated to, notify you of significant changes through various means including but not limited to sending an email notification to the email address associated with your account, displaying a prominent notice on our website homepage, showing a notification banner when you log into your account, posting an announcement in our user dashboard, or through other reasonable means of communication. However, it is ultimately your responsibility to regularly review these Terms and Conditions to stay informed of any changes.

Severability, Waiver, and Entire Agreement

No single or partial exercise of any right or power shall preclude any other or further exercise thereof or the exercise of any other right or power.

These Terms and Conditions, together with our Privacy Policy, Refund Policy, and any other legal notices, disclaimers, or policies published on our website or otherwise made available to you, constitute the entire agreement between you and Unive.com.bd regarding your use of our services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to the subject matter hereof. There are no third-party beneficiaries to these terms.
