Enterprise Agreement
Effective January 6, 2026
These Terms of Service (Terms) form a binding agreement between you (you or Customer) and Unive, Inc. (us or we or Unive) governing the use and access of products related to a paid or trial subscription (Unive Service) that we offer to you and any authorized persons appointed by you to use the Unive Service on your behalf (each, a User and collectively, Users). By using or accessing the Unive Service or by authorizing or permitting any User to use or access the Unive Service, you agree to be bound by and agree to these Terms.
We may update these Terms from time to time. If we do, we will update the effective date listed above. Your continued use of the Unive Service after the Terms have changed will constitute your agreement to the modified Terms. If you do not agree to the modified Terms, your sole recourse is to discontinue your use of the Unive Service.
Definitions
Course Content means all forms of intellectual property, proprietary information, and educational materials made available by Unive through the Unive Service. This includes, but is not limited to, coursework, syllabi, lesson plans, assignments, homework, projects, quizzes, tests, examinations, grading criteria, feedback, certificates, written articles, notes, PDFs, presentations, slide decks, charts, diagrams, illustrations, infographics, images, photographs, animations, audio files, podcasts, music, video files, live-streamed classes, recorded lectures, webinars, tutorials, demonstrations, simulations, source code, scripts, APIs, software tools, documentation, databases, downloadable resources, interactive modules, user interfaces, design elements, layouts, and any updates, modifications, or enhancements thereto. Course Content may be accessed via web applications, mobile applications, APIs, or any other digital or physical delivery method supported by Unive. All Course Content is either owned by Unive or licensed to Unive, and is protected under applicable copyright, trademark, patent, and other intellectual property laws. Except where expressly permitted, users may not copy, reproduce, distribute, modify, publish, transmit, sell, sublicense, reverse-engineer, or create derivative works from any Course Content without prior written permission from Unive. Unive reserves the right to update, replace, suspend, or remove any Course Content at any time without prior notice, and does not guarantee the continuous availability, accuracy, or completeness of any Course Content provided through the Unive Service.
This term encompasses all intellectual property and related rights that are either owned by the Customer or legally licensed to them. This includes, but is not limited to, any coursework materials, images, audio recordings, and video content. Such content is specifically provided by the Customer through the course publication features and functionalities made available by the platform Unive. The definition establishes that the Customer retains ownership or necessary licenses for this content, and by providing it through Unive's system, they are enabling its use within the scope of the platform's services for educational or publication purposes. The term underscores the responsibility of the Customer to ensure they have the right to share such materials, protecting both the Customer and Unive from potential intellectual property infringement issues.
This term comprehensively defines the entire corpus of informational and instructional resources that Unive formally provides to the Customer. It is the official written, and often digital, knowledge base designed to facilitate the effective adoption, configuration, and utilization of the Unive Service. The Documentation includes, but is not limited to, the following categories: 1. Technical Specifications: Detailed documents outlining system architecture, API references, data models, integration protocols, software and hardware prerequisites, performance benchmarks, and security standards. 2. Administrative & User Guides: Step-by-step manuals for different user roles (administrators, instructors, learners), covering account setup, dashboard navigation, feature configuration, course management tools, and user permission settings. 3. Implementation & Onboarding Materials: Roadmaps, checklists, and best practice guides for deploying the Unive Service within the Customer's ecosystem, ensuring a smooth transition and initial setup. 4. Support Documentation: A living library of resources such as troubleshooting guides, in-depth knowledge base articles, frequently asked questions (FAQs), and video tutorials aimed at resolving common issues and answering operational queries. 5. Policy & Procedural Updates: Formal written communications including service level agreements (SLAs) addenda, acceptable use policies, data privacy guidelines, release notes for new versions, and notifications of changes to terms of service. 6. Training Materials: Structured content designed to educate users on maximizing the platform's capabilities, including webinars, how-to guides, and instructional workshops.
Refers to the comprehensive, web-based interactive learning and talent management platform provided by Unive. The service is designed as an integrated ecosystem that enables Users to access a wide range of educational and professional development tools. This includes interactive courses with multimedia content, step-by-step tutorials, hands-on practice sets and exercises, and all supplementary learning materials provided alongside them (such as datasets, project files, and reading resources). Beyond learning, the Unive Service facilitates skill assessments through quizzes, tests, and competency evaluations to measure user progress and proficiency. It also streamlines the recruitment process for organizations by offering features like candidate screening, assessment creation, and applicant tracking. Furthermore, the platform supports job onboarding through structured orientation programs, training modules, and progress tracking for new hires. Collectively, these facilities provide an end-to-end solution for skill development, evaluation, and career transition within a single, unified digital environment.
Refers to a formal, binding document (either physical or digital) that specifically references and incorporates these Terms of Service. The Order Form serves as the commercial and contractual specification sheet that precisely details the agreement between Unive and the Customer for the provisioning of services. It explicitly lists and defines the subscription(s) being purchased, including the specific quantity (e.g., number of user licenses, course seats, assessment credits) and the precise type, category, or tier of each subscription (e.g., 'Enterprise Plan', 'Annual Academic License', 'Pay-as-you-go'). Additionally, the Order Form typically contains all critical commercial terms such as the effective subscription dates (start and end), the total and itemized Subscription Fees, payment schedules (including due dates and methods), billing details, any applicable discounts or promotions, the specific service features or modules included, and data storage allowances. It is the primary activation document that initiates service delivery and legally binds both parties to the agreed-upon commercial terms.
Refers to a specific type or category of subscription offering that defines the scope, features, limitations, and pricing structure under which the Customer may access and use the Unive Service. A Plan serves as a packaged set of service entitlements and is designed to cater to different organizational needs, user volumes, and usage patterns. Common examples include but are not limited to: - **A-la-carte (Pay-per-use):** A flexible, modular plan where Customers pay only for specific features, courses, user seats, or assessment credits they consume, without committing to a bundled package. - **Unlimited Use (All-access):** A comprehensive plan providing unrestricted access to the entire suite of courses, tools, and features for a fixed recurring fee, typically suited for high-usage environments. - **Tiered Plans (Basic, Professional, Enterprise):** Structured packages with graduated levels of functionality, support, and user limits, each corresponding to a different price point. - **Freemium/Starter:** A free or low-cost introductory plan with limited access, designed to allow trial before upgrading to a paid subscription. - **Custom Enterprise:** Tailored solutions with negotiated features, pricing, and terms for large organizations. The specific details, inclusions, restrictions, and pricing for each available Plan are comprehensively documented in Exhibit A (or an attached Pricing Schedule) of the Agreement.
Refers to the formal, time-bound, and often renewable right granted to a Customer to access and use the Unive Service, subject to payment of the applicable Subscription Fee and adherence to the terms of the Agreement. A Subscription is the contractual mechanism through which authorized Users gain entry to the platform's features, content, and tools, as defined by the specific Plan selected. Subscriptions are structured to accommodate various needs—available in different durations (e.g., monthly, annual, multi-year), for different user categories (e.g., individual learners, corporate teams, educational institutions), and under different Plan types (e.g., per-seat licensing, site-wide access). The exact parameters of each Subscription, including the number of authorized Users, the specific features included, the Subscription term (start and end dates), auto-renewal settings, and the associated fees, are exclusively detailed and governed by the Order Form, which acts as the binding schedule to the main Agreement.
Means the monetary compensation or charge payable by the Customer to Unive in consideration for the right to access and use the Unive Service under a specific Subscription and Plan for a defined term. This fee constitutes the primary financial obligation under the Agreement and is explicitly itemized, quantified, and documented in the Order Form. The Subscription Fee may be structured in various forms, including but not limited to: a recurring flat fee (monthly, quarterly, annual), a per-user or per-seat charge, a tiered fee based on usage volume or feature access, or a one-time implementation/setup fee in addition to ongoing charges. The fee typically covers the licensed platform access, standard included features, basic support, and service maintenance as per the selected Plan. All associated payment terms—such as the total amount, currency, payment schedule (including due dates and intervals), accepted payment methods, applicable taxes, late payment penalties, and renewal pricing—are also clearly specified within the Order Form alongside the fee.
means a user of the Unive Service for whom Customer has a valid subscription. Users may be employees, contractors, job applicants or other individuals.
Subscription
2.1 Grant
Subject to the Customer's full and timely payment of the Subscription Fee, Unive hereby grants to the Customer a limited, non-transferable, non-exclusive, royalty-free license for the specified Subscription Term, without the right to sublicense, solely to access and use the Unive Service in accordance with these Terms and any applicable Order Form. This license is strictly conditional upon continued compliance with the Agreement and is restricted to internal business or educational purposes by the Customer and its authorized Users. The license does not convey ownership of any software, intellectual property, or underlying technology; it merely provides a right of access and use as permitted herein.
2.2 Administrator, User IDs, Passwords, Service Agreement
The Customer is required to appoint at least one designated Administrator who will serve as the primary point of contact for all communications and administrative matters with Unive. Each individual User must be assigned a unique User ID (username/email) for accessing the Unive Service. Sharing, transferring, or reusing User IDs among multiple individuals is strictly prohibited. The Customer bears full responsibility for ensuring the security and confidentiality of all User IDs and passwords associated with its account. The Customer acknowledges and agrees that Unive shall not be held liable for any unauthorized access, misuse, or fraudulent activity resulting from the compromise, loss, or sharing of User credentials by the Customer or its Users. Furthermore, all Users must explicitly agree to abide by the Terms of Service (as referenced within the Unive Service Terms) prior to accessing or using the platform. Failure to enforce these requirements may result in suspension or termination of access.
2.3 Restrictions. Except as expressly set forth in Section 2.1
Unive reserves all rights and grants Customer no licenses of any kind hereunder, whether by implication, estoppel or otherwise. The license set forth above in paragraph 2.1 does not include any rights and Customer shall not (a) reproduce, modify, translate or create any derivative works of all or any portion of the Unive Service except as authorized within the Unive Service; (b) sell, rent, lease, loan, provide, distribute or otherwise transfer all or any portion of the Unive Service; (c) reverse engineer, reverse assemble or otherwise attempt to gain access to the source code of all or any portion of the Unive Service; (d) use the Unive Service for third-party training, commercial time-sharing or service bureau use; (e) remove, alter, cover or obscure any copyright notice, trademark notice or other proprietary rights notice embedded in or on the Unive Service; (f) unbundle any component of the Unive Service or any third-party software; or (g) cause or permit any third party to do any of the foregoing.
Location Information
With your consent through the permissions you grant on your device, we may collect, use, and store information about your general geographic location (e.g., city, region, or approximate coordinates). This location data is utilized to enhance and personalize your experience within the Unive Service, such as by providing location-relevant content, features, or service optimizations, and to improve and customize our Service offerings overall. You retain full control and can enable or disable location services at any time through your mobile device’s operating system settings or the application’s permission settings. Disabling location services may limit the availability of certain location-dependent features within the Service.
Do Not Track Disclosure
Our Service currently does not respond to or support the 'Do Not Track' (DNT) browser setting or signal. 'Do Not Track' is a privacy preference that you can enable in your web browser to request that websites and online services refrain from tracking your browsing activity across sites. While we respect user privacy and describe our data practices transparently in our Privacy Policy, our systems are not configured to recognize or act upon DNT signals at this time. You may still enable or disable DNT through the 'Preferences' or 'Settings' section of your specific web browser. Please refer to our Privacy Policy for detailed information on the types of data we collect and how it is used.
Public Forums
The Unive Service may include interactive, community-based features such as message boards, discussion forums, news groups, comment sections, or similar public forums (collectively, 'Public Forums') where Users can share information and interact. Any information, content, or data that you voluntarily choose to post, submit, or disclose within these Public Forums becomes publicly accessible information, which may be viewed, collected, and used by other Users or third parties, potentially without limitation. Given the public nature of these areas, you should exercise caution and discretion when participating. We strongly advise against posting or sharing any sensitive, confidential, or personally identifiable information (such as full name, address, phone number, financial details, or specific account credentials) in Public Forums.
Service Providers
To operate, maintain, and improve the Unive Service efficiently and securely, we may engage and employ reputable third-party companies, vendors, or individuals ('Service Providers'). These Service Providers act under our instruction and authority to facilitate aspects of the Service, to provide certain components or functionalities of the Service on our behalf, to perform specialized Service-related operations (such as maintenance, support, or data storage), and/or to assist us in analyzing usage patterns, trends, and the overall performance of our Service to enhance user experience and platform stability.
These third-party Service Providers are granted access to your Personal Information only to the extent strictly necessary to perform specific, contracted tasks on our behalf. They are contractually obligated and bound by confidentiality agreements to (a) use your information solely for the purposes of providing the services we have requested, (b) not disclose or share your information with any other party, and (c) not use your information for any other purpose, including their own marketing or commercial objectives. Such third-party service providers typically fall into, but are not limited to, the following functional categories: Payment Processors (for secure transaction handling), Hosting & Infrastructure Service Providers (for data storage and server management), Analytics Service Providers (for understanding usage and performance), and Marketing/Communication Providers (for managing emails, notifications, and promotional outreach).
Marketing Partners
We work with third party affiliate networks and advertising partners to display advertisements on our Sites and referred links. Such third party partners may collect personal information when you interact with our Service, including IP addresses, digital identifiers, information about your web browsing and app usage and how you interact with our Service and ads for various purposes, such as personalization of offers or advertisements, website or ad analytics and other commercial purposes.
Payment Processing
Your payment details will be encrypted using secure socket layer (SSL) technology before they are submitted to us over the internet. Payments made on the site are made through our payment gateway provider. You will be providing credit or debit card information directly to the operator who operates a secure server to process payment details, encrypting your credit/debit card information and authorizing payment. Information which you supply is not within our control and is subject to the operator's own privacy policy and terms and conditions.
Communications
We may use your Personal Information, such as your name and email address, to contact you with service-related updates, newsletters, marketing messages, promotional offers, product announcements, surveys, and other information that we believe may be relevant, useful, or of interest to you based on your use of the Unive Service. These communications are intended to keep you informed, enhance your user experience, and provide value. However, we respect your preferences and privacy. In every promotional or marketing email we send, you will find a clear and straightforward 'unsubscribe' link or specific opt-out instructions. You may use this mechanism at any time to opt out of receiving some or all of such non-essential communications from us in the future. Please note that opting out of marketing communications will not affect our ability to send you important transactional or administrative messages related to your account or the Service (such as password resets, billing notices, or critical service announcements).
